MATERIAL FACT

Banco do Estado do Sergipe S.A. (“BANESE”) in compliance with article 157, paragraph 4 of Law 6,404/76 and article 3 of CVM Instruction 358, of January 3, 2002, hereby informs its shareholders and the market in general that the Board of Directors of BANESE approved, on June 28, 2019, the realization of a capital contribution of up to R$70,000,000.00 (seventy million reais), in the company in which BANESE holds an interest: SEAC – Sergipe Administradora de Cartões e Serviços LTDA., limited company, headquartered in the city of Aracaju, State of Sergipe, at Rua Gutemberg Chagas, 222, Inácio Barbosa, CEP: 49040-780 registered in the Corporate Taxpayer’s ID (CNPJ/MF) under no. 03.847.413/0001-02, with its acts of incorporation registered with the Commercial Board of the State of Sergipe under Company Registry (NIRE ) no. 282002820-54 (“Affiliate”), to be transferred to SEAC – Sergipe Administradora de Cartões e Serviços S.A., a corporation with private equity, in order to capitalize the Affiliate.

In this sense, the Board of Directors has authorized the Company’s officers to perform all acts necessary to formalize the capital contribution to the Affiliate, including signing all documents required for the transaction.
